Terms & Policies

These Terms and Conditions ("Terms") govern all services provided by Northern Beaches Web Co ("we", "us", "our"), a sole trader web design business operated by Jake Mitchell, based in the Northern Beaches, Sydney NSW.

By engaging our services, requesting a quote, making a payment, or signing a project proposal, you ("the Client") agree to be bound by these Terms. These Terms form a legally binding agreement under the laws of New South Wales and the Commonwealth of Australia.

Northern Beaches Web Co provides website design, development, hosting management, SEO setup, Google Business Profile optimisation, ongoing maintenance, and related digital services to small businesses, primarily within the Northern Beaches region of Sydney, NSW.

The specific scope of services will be detailed in a written proposal prior to commencement. Any services not listed in that proposal are out of scope and subject to additional fees.

All quotes are valid for 14 days from the date of issue. A quote is not a guarantee of final pricing — if scope materially changes, we will notify you in writing before proceeding. A project commences only upon receipt of a signed proposal and the required deposit payment.

Verbal agreements, informal emails, or text messages do not constitute a binding service agreement.

Unless otherwise agreed in writing, our standard payment structure is:

• 50% deposit required before any work commences
• 50% final payment due upon completion, prior to site launch or file handover

For ongoing monthly services, payment is due on the 1st of each month with a 7-day grace period. Late payments incur interest at 10% per annum, calculated daily. We reserve the right to suspend services related to hosting, maintenance, or deployment until outstanding amounts are settled in full.

All prices are in Australian Dollars (AUD). GST is not currently applicable as we operate below the GST registration threshold.

Timelines in proposals are estimates only. Each package includes a defined number of revision rounds. The following are out of scope and subject to additional charges at $120 AUD/hr:

• Fundamental redesigns after a design direction has been approved
• Additional pages or features not in the original scope
• Changes requested after final approval
• Excessive revision requests that extend project duration

If the client causes delays of more than 30 consecutive days, we reserve the right to invoice the outstanding balance and close the project file. Recommencement may incur a restart fee.

The Client agrees to provide all required content in a timely manner; ensure all supplied content is original or properly licensed; provide timely feedback and approvals; and not misrepresent the nature of their business.

We accept no liability for delays or errors resulting from the Client's failure to meet these responsibilities. The Client warrants that materials they supply do not infringe third-party rights, and indemnifies Northern Beaches Web Co against any claims arising from such materials.

Before full payment: All design files, code, and creative work remain our exclusive intellectual property. We retain the right to withhold delivery until full payment is received.

After full payment: Ownership of the final website deliverable transfers to the Client. This covers the final files only — not source files, proprietary frameworks, or reusable components unless explicitly agreed. We retain the right to display completed work in our portfolio unless the Client requests otherwise in writing prior to commencement.

Both parties agree to keep confidential any sensitive business information shared during the engagement. We will not sell, share, or disclose Client data to third parties except as required to deliver agreed services.

We warrant services will be delivered with reasonable care and skill. However, we do not warrant that the website will be free of all errors; achieve specific search rankings or business outcomes; remain unaffected by third-party platform changes; or remain compatible with all future browser updates after handover. Any estimates of traffic, leads, or revenue are indicative only.

To the extent permitted by law, our liability is limited to the amount paid for the relevant service. We are not liable for indirect or consequential loss, loss of revenue or profit, loss of data, or damage caused by third-party services or the Client's own actions.

By the Client: The Client may terminate at any time by written notice. The deposit is non-refundable. If work has commenced beyond the deposit stage, the Client agrees to pay for all work completed to that point.

By Us: We may suspend or terminate immediately if the Client fails to make payment within 14 days; engages in abusive or unlawful conduct; or breaches any material term. All outstanding invoices become immediately due upon termination.

Websites we build may rely on platforms including Netlify, Google Workspace, Calendly, and Stripe. These services are subject to their own terms. We are not responsible for disruptions or policy changes imposed by third-party providers.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. Nothing in these Terms excludes any non-excludable statutory right.

Both parties agree to first attempt resolution in good faith within 14 days of written notice. If unresolved, either party may refer the matter to mediation with costs shared equally. For disputes under $10,000 AUD, the NSW Civil and Administrative Tribunal (NCAT) may be the appropriate forum.

These Terms are governed by the laws of New South Wales and the Commonwealth of Australia. Both parties submit to the exclusive jurisdiction of the courts of New South Wales. If any provision is found unenforceable, the remaining provisions continue in full force.
